BACKGROUND:
During the August 21, 2025, Foundation meeting, members elected a Chair and Vice Chair to serve a one-year term. The City Attorney, however, advised that the nominations for Chair and Vice Chair were invalid because Foundation members’ terms expired (Articles of Incorporation, 6.5 Term of Directors: “Each of the Directors shall serve for a term of two (2) years. All Directors shall be permitted to serve an unlimited number of terms”).
Members were last appointed on November 19, 2020 (Resolution 20-52).
Council reappointed directors Erik Brechnitz, Rene Champagne, David Cox, Mike Illitch Jr., Jim Richards through Resolution 25-40 on September 8, 2025 for another 2 year term.
The Parks & Recreation Advisory Committee Chairman, continues to serve on the Foundation (annual basis).
In light of term expirations, and in accordance with Article VIII, Section 8.1, of the attached Articles of Incorporation, at the first meeting and at each annual meeting of the Board of Directors, the Board of Directors shall elect a Chair and Vice-Chair , of whom shall be Directors. (The Secretary of the Board of Directors shall be the City Clerk.).
The elected Chairperson and Vice-Chair shall serve for one full term (Article 6.5 Term of Directors)
FUNDING SOURCE / FISCAL IMPACT: N / A
RECOMMENDATION: Elect Chairperson and Elect Vice Chairperson.
POTENTIAL MOTION: “I nominate (name) for the position of (insert position title here).” NOTE: no Second of the Motion is required.
