Director Candidate (8th Director) for Marco Island Community Parks Foundation- Joan Taylor, City Clerk

BACKGROUND:
The Marco Island Community Parks Foundation was organized as a not-for-profit corporation in January 2020 to provide educational, cultural and charitable support for the City's Parks.
According to Section 6.1(a) of the Articles of Incorporation, "Members of Board of Directors", the Board of Directors consists of no less than 7 and no more than 11 Directors (in addition to the City Clerk who is an ex-officio member of the Board).
Currently, there are 7 Directors on the Foundation Board.
Ms. Joan Janssen applied for a Director position on the Foundation.
Qualifications for being a Board Director are (Section 6.4 of the Articles):
* Must be a resident of the City; and,
* Have the ability to:
o Provide and secure financial support for the activities of the Corporation. The skills and/or resources of the Directors are vital to the financial well-being of the Corporation. Also, Directors, because they have a great standing in the community may greatly influence individuals, corporations, foundations and government agencies to provide financial support
o To volunteer their specialized business expertise, advice and guidance to working committees when needed
o To spearhead and to reinforce all community and public relations work of the corporation.
Upon Foundation approval, Ms. Janssen will be nominated via the Foundation Chairperson for appointment by the City Council.
FUNDING SOURCE / FISCAL IMPACT: NA.
RECOMMENDATION: 1. Establish if the board wishes to expand its number of Directors. 2. Assess Ms. Joan Janssen's eligibility to serve as a Director on the Foundation Board.
