BACKGROUND

 

According to Marco Island Community Parks Foundation, Inc., Article 7.11 “Financial Disclosure”, all Directors on the Foundation are required to file the same Florida Financial Disclosure Statements as municipal officers.  This Financial Disclosure Statement is also known as “Form 1” with the Florida Commission on Ethics.   See page 7 of the Articles.

 

The financial requirement for Directors to file “Form 1” was imposed by the City Council and is not a State statute requirement.  During the January 21, 2026 Marco Island Community Parks Foundation meeting, Directors noted that prospective Foundation Directors expressed concern about joining due to their financial information becoming a public record.  At the same meeting, Directors voted 4-0 in the affirmative to repeal Article 7.11 “Financial Disclosure” from the Articles of Incorporation.

 

A proposed amendment to the Articles of Incorporation must be approved by a majority of the City Council before becoming effective.

 

Upon approval, an amendment to the Articles of Incorporation will be filed with the Division of Corporations.

RECOMMENDATION:  Approve Resolution 26-10.
